BACKGROUND

Tanva advised and assisted clients on corporate and commercial matters including, foreign investment planning, corporate structuring, joint venture formations, commercial contracts and dispute resolution. He has led corporate legal due diligence reviews in the context of merger and acquisitions and preparations for initial public offerings.

Tanva advised clients on Thai regulatory compliance issues including customs valuation,product classification, regulated and controlled substances, trade privileges, board of investment promotions, excise tax, board of investment privileges, and product rules of origins. His practices include trade privilege structuring, customs compliance, indirect taxstructuring, and regulated industry compliance.

WORK PROJECTS

Project leader to due diligence team engaged in reviewing corporate targets in merger and acquisition. Responsible for directing and leading team members in review of corporate legal due diligence, customs compliance. tax compliance, and trade regulatory compliance.

Counsel to joint venture structuring projects. Advised on negotiation process and strategies, proposals from potential venture partners, joint venture agreements and accompanying instruments, terms and conditions for transfers, buy-outs, winding up, dispute resolutions, and corporate structuring.

Counsel to foreign investment planning and corporate structuring projects. Advised on investment tax privilege planning, corporate formation and structuring for foreign businesses, capitalization, and capital expatriation and repatriation.

Counsel for customs and trade regulatory compliance audits. Developed audit frameworks, trained client personnel on compliance awareness, managed documentary reviews, advised anddeveloped strategies to manage customs non-compliancerisks.

Charnleads the firm’s investment facilitation services division. He advises foreign investors and business in Thailand from a commercial landscape and business intelligence perspective. With extensive management experience, business and government network, Charnsupports clients establishing critical linkages, including, supply side networking, customer base networking, infrastructureand supply chain networking, access to financial resources, connectivity with government agencies, and government affairs. He also assists clients in identifying and connecting with potential business partners for joint ventures and acquisitions.

Wassachol joins our firm as an associate lawyer. She assists in preparing and filing corporate documentsforcompanyformationsalongwithothercorporatematters.Sheassistsandadvises
clients on matters regarding foreign business law, corporate structuring, drafting and reviewing of employment contracts, commercial contracts, and board of investment (BOI) applications.

Tawatchai has over fifteen years of experiencein administering and managing Board of Investment (BOI) projects. He has assisted clients in preparing applications for BOI promotions, project start-up, project amendments, and closure. He also assisted clients in administering and managing their BOI import duty privileges such as the BOI inventory control system (Max Stock), machinery control system (Machinery List) to achieve compliance with BOI requirements and customs regulations.

Tawatchai is also experienced in conducting internal customs risk review, handling customs disputes, and reviewing product customs classifications. He has assisted clients in preparing and submissions of product origin costingsfor FTA duty privileges before the Department of Foreign Trade, and product import licensing requirements under the FDA, industrial standard requirements, and hazardous substances under the Department of Industrial works(DIW).
